USDigiCart operates as an authorized digital software marketplace providing: • Licensed software products from verified publishers and developers • Digital delivery of software licenses and activation keys • Customer support for purchase and delivery issues • Secure payment processing through certified payment partners • Product information, reviews, and compatibility guidance Our Role: USDigiCart acts as an intermediary between software publishers and end users. We are not the publisher, developer, or manufacturer of the software products sold through our platform. Each software product is governed by its respective End User License Agreement (E­U­L­A) provided by the publisher. Service Availability: Our website is generally available at all times, though we may suspend or limit access for maintenance, security, or other operational reasons. Customer support is available by email (replies on business days) and by phone (Mon-Fri, 9 AM - 6 PM EST).

License Nature: All software products sold through USDigiCart are licensed, not sold. When you purchase software, you are acquiring a license to use the software subject to the terms and conditions set forth by the software publisher in their End User License Agreement (E­U­L­A). License Validity: All software licenses sold through our platform are: • Legally obtained from authorized sources • Valid for the specified number of installations/devices • Accompanied by proper documentation and support entitlements where applicable License Restrictions: Unless otherwise specified in the publisher's E­U­L­A, you may not: • Share, distribute, or transfer licenses to third parties • Use licenses for commercial purposes if designated for personal use • Reverse engineer, decompile, or modify the software • Use the software in violation of applicable laws or regulations • Install the software on more devices than permitted by the license Publisher Relationship: USDigiCart maintains authorized reseller agreements with software publishers. In case of license disputes, we will provide documentation of legitimate purchase to support your license validity.

Account Requirements: To purchase software or access certain features, you must create an account. You agree to: • Provide accurate, current, and complete information • Maintain the security of your account credentials • Notify us immediately of any unauthorized account access • Accept responsibility for all activities under your account Account Security: You are solely responsible for maintaining the confidentiality of your account information, including your password. USDigiCart will not be liable for any loss or damage arising from your failure to comply with this security obligation. Pricing: All prices are displayed in U.S. Dollars (USD) unless otherwise specified. Prices include applicable taxes where required by law. Promotional pricing and discounts are time-limited and subject to availability. Payment Processing: We accept payments through secure, PCI-compliant payment processors including: • PayPal (express checkout and standard payments) • PayPal also processes credit and debit card payments (Visa, Mastercard, Amex, Discover) via PayPal's guest checkout • Other authorized payment methods as available Payment Authorization: By providing payment information, you: • Authorize us to charge the payment method for your purchases • Confirm that you are authorized to use the payment method • Agree to pay all charges incurred by your account • Accept responsibility for any fees imposed by your payment provider Billing Disputes: If you dispute a charge, you must contact us within 60 days of the charge date. Delivery Method: Upon successful payment verification, you will receive: • Email confirmation with order details • Download links for software products • License keys and activation instructions • Installation guides and system requirements Delivery Timeframe: Digital products are delivered within 24 hours of payment confirmation. Delays may occur due to: • Payment verification processes • High-volume periods • Technical maintenance • Security reviews Download Access: • Download links remain active for 30 days from purchase date • You may re-download during this period without additional charge • After 30 days, re-download requests may incur a service fee • We recommend downloading and backing up your software immediately Delivery Failure: If you do not receive your digital products within 24 hours, contact our support team with your order number. General Refund Policy: We offer a 30-day money-back guarantee for most software products, subject to the following conditions: Eligible Refunds: • Software fails to install on a compatible system • Product does not function as described in our product listing • License key is invalid or non-functional • Product received differs significantly from description Non-Eligible Refunds: • Change of mind or buyer's remorse • Incompatibility with unsupported operating systems • Preference for alternative software • Software successfully installed and activated • Products purchased more than 30 days ago Refund Process: 1. Contact our support team with your order number 2. Provide detailed explanation of the issue 3. Allow up to 5 business days for investigation 4. Refunds are processed to the original payment method 5. Refund processing may take 5-10 business days depending on your payment provider Publisher-Specific Policies: Each software publisher sets its own refund terms: • Refund windows vary by publisher and are listed on the product page or available from the publisher's support team • Free or open-source tools (e.g. BleachBit, Snappy Driver Installer) are not eligible for refunds because there is no purchase to refund • Any custom refund terms for a specific title will be noted on the product page at purchase Partial Refunds: For multi-license purchases, partial refunds may be available for unused licenses that have not been activated or distributed.

USDigiCart is committed to selling only legitimately sourced license keys obtained through authorized channels. Our Sourcing Standards: • All license keys are obtained from authorized publishers, authorized distributors, or volume licensing programs that permit resale • We do NOT sell, knowingly list, or distribute unauthorized, stolen, illegally generated, region-restricted (where prohibited), or compromised keys • We maintain documentation of supply chain and can provide proof of legitimate purchase to the publisher upon valid request Reporting Suspected Unauthorized Keys: If you have reason to believe a key purchased from us is not legitimate, contact us immediately at contact at usdigicart dot com. We will investigate, and if confirmed, refund or replace the key at no cost to you. Buyer Obligations: You agree not to resell, redistribute, list on grey-market platforms, or use license keys purchased from us in violation of the publisher's End User License Agreement (E­U­L­A). Such conduct may void the license and forfeit your right to support or refunds.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so portions of the above may not apply to you.

You agree to defend, indemnify, and hold harmless USDigiCart, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: • Your violation of these Terms or any applicable law • Your violation of any third-party right, including intellectual-property or privacy rights • Your misuse of any software license or product purchased through our Services • Any content you submit, post, or transmit through our Services

Software products sold through USDigiCart may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce, and economic sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (O­F­A­C). You represent and warrant that: • You are not located in, under the control of, or a national or resident of any country subject to U.S. embargo or comprehensive sanctions (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine) • You are not on the U.S. Treasury Department's Specially Designated Nationals List, the U.S. Commerce Department's Denied Persons List, or any other restricted-party list • You will not export, re-export, or transfer any software purchased through our Services in violation of applicable export laws USDigiCart reserves the right to refuse, cancel, or void any order at its sole discretion to comply with these requirements.

Governing Law: These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Informal Resolution: Before filing any formal claim, you agree to first contact us at contact at usdigicart dot com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not resolved informally shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be held in Wilmington, Delaware (or remotely if mutually agreed). Judgment on the award may be entered in any court of competent jurisdiction. Class Action Waiver: TO THE E­X­T­E­N­T P­E­R­M­I­T­T­E­D BY LAW, YOU AND USDigiCart E­A­C­H W­A­I­V­E THE R­I­G­H­T TO P­A­R­T­I­C­I­P­A­T­E AS A P­L­A­I­N­T­I­F­F OR C­L­A­S­S M­E­M­B­E­R IN ANY P­U­R­P­O­R­T­E­D C­L­A­S­S A­C­T­I­O­N, C­O­L­L­E­C­T­I­V­E A­C­T­I­O­N, OR R­E­P­R­E­S­E­N­T­A­T­I­V­E P­R­O­C­E­E­D­I­N­G. Exceptions: Either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in court for intellectual-property infringement. 30-Day Opt-Out: You may opt out of the arbitration provision by sending written notice to contact at usdigicart dot com within 30 days of first accepting these Terms.

Changes to These Terms: We may revise these Terms from time to time. The most current version will always be posted on this page with the updated "Last Updated" date. For material changes, we will provide reasonable advance notice (e.g., by email or a banner on the site). Your continued use of the Services after the effective date constitutes acceptance of the revised Terms. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of that right or provision. Assignment: You may not assign or transfer these Terms or any of your rights or obligations without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets. Entire Agreement: These Terms, together with our Privacy Policy and any product-specific E­U­L­As, constitute the entire agreement between you and USDigiCart regarding the Services and supersede all prior agreements and understandings. Force Majeure: USDigiCart shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, or interruptions of internet or third-party services.
